| Abstract: | Disertační práce se zabývá vybranými otázkami týkajících se cenných papírů, a to jak v teorii, tak v praxi s ohledem na platnou právní úpravy. Disertační práce se zabývá především vysvětlením samotného pojmu cenného papíru a jeho pojmovými znaky se zaměřením na zákonnou definici cenného papíru zavedenou do právního řádu zákonem č. 89/2012 Sb., občanským zákoníkem. Disertační práce se dále zaobírá rozdělením cenných papírů na cenné papíry v listinné podobě a zaknihované cenné papíry, tedy kritériem podoby cenných papírů. V této souvislosti se disertační práce zabývá zejména odklonem nové právní úpravy od dosavadního chápání zaknihovaných cenných papírů jako něčeho, co spadá do množiny cenných papírů obecně, a s tímto odklonem souvisejícími problematickými aspekty. Disertační práce se dále věnuje dalším podstatným třídícím hlediskům cenných papírů (zastupitelnost a forma) a souvisejícím otázkám, a to především otázkám hromadných listin, převoditelnosti, nahrazení podpisu emitenta mechanickými prostředky atd. Disertační práce se v neposlední řadě zaměřuje na nabývání cenných papírů, a to jak primární (tj. vydávání cenných papírů emitentem), tak sekundární (tj. převodům a přechodům, avšak u přechodů bez dědění). |
| Abstract in different language: | The dissertation focuses on selected issues related to securities, both in theory and in practice, with regard to the current legislation. The dissertation deals primarily with the explanation of the concept of a security and its definitional features, focusing on the definition of a security implemented into the legal system by act no. 89/2012 Coll., the Civil Code. The dissertation also deals with the division of securities into certificated securities and book-entry securities, i.e. the criterion of the form of securities. In this context, the dissertation focuses in particular on the diversion of the new legislation from the existing understanding of book-entry securities as something that belongs to the set of securities in general, and the problematic aspects related to this diversion. The dissertation also discusses other essential classificatory aspects of securities (substitutability and form) and related issues, in particular the issues of securities in bulk, transferability, substitution of the issuer's signature by mechanical means, etc. Last but not least, the dissertation focuses on the acquisition of securities, both primary (i.e. issuance of securities by the issuer) and secondary (i.e. transfers and transitions, while in the case of transitions the thesis does not deal with succession). |
