| Abstract: | Autor v této diplomové práci pojednává o institutu povinnosti péče řádného hospodáře a pravidlu podnikatelského úsudku. Dále se věnuje možným důsledkům porušení povinnosti péče řádného hospodáře jak v soukromoprávní, tak i v trestněprávní úpravě. V neposlední řadě pojednává o britské úpravě povinnosti péče řádného hospodáře a provádí komparaci české a britské právní úpravy. |
| Abstract in different language: | In this diploma thesis, the author discusses the institute of the duty of due managerial care and the business judgment rule. He also discusses the possible consequences of a breach of the duty of due managerial care in both civil and criminal law. Last but not least, it discusses the british regulation of the duty of care and compares the czech and british legislation. |
